1Introduction
This Agreement sets out what you can and can't do as a Waplee user. It works alongside our Terms and Privacy Policy.
This User Agreement ("Agreement") is between you and Waplee ("we", "us", "our"). It governs your conduct as a user of waplee.org and any related services (the "Platform"), and works together with our Terms & Conditions and Privacy Policy.
By creating an account or using the Platform, you accept this Agreement. If you do not agree, please do not use the Platform.
2Who Can Use Waplee
2.1 Age
You must be at least 18 years old to register an account. If you are under 18, a parent or legal guardian must register and place orders on your behalf.
2.2 Capacity
You must have the legal capacity to enter into a binding contract. If you are using the Platform on behalf of a business or other entity, you confirm that you have the authority to bind that entity to this Agreement.
2.3 Geography
The Platform is offered primarily to users in Kenya. We may make our services available outside Kenya, but you are responsible for compliance with any laws applicable in your jurisdiction.
3Account Responsibilities
As a Waplee account holder, you agree to:
- Provide accurate, current, and complete information when registering and to keep your account details updated;
- Use a secure password and not share your login credentials with anyone;
- Be responsible for all activity that occurs under your account, whether or not authorised by you;
- Notify us immediately at hello@waplee.org of any suspected unauthorised access or security breach;
- Maintain only one personal account. Operating multiple accounts to evade limits, prohibitions, or bans is a violation of this Agreement.
4Your Content
"Your Content" means any text, images, designs, artwork, logos, photographs, fonts, or other material that you upload, create, save, or submit through the Platform.
You retain ownership of all intellectual property rights in Your Content. We do not claim ownership of your designs.
4.1 Responsibility for Your Content
You are solely responsible for Your Content, including its accuracy, legality, and the consequences of submitting it. We do not endorse Your Content and we are not responsible for it.
4.2 Storage of Your Content
Your Content is stored in your Waplee account. You can edit or delete it at any time. Some Content may persist briefly in our backups after deletion. Once an Order has been placed, the design data associated with that Order is retained for record-keeping and dispute resolution.
5The Licence You Grant Us
By submitting Your Content to the Platform, you grant Waplee a limited, non-exclusive, royalty-free, worldwide licence to:
- Display Your Content within your account, the editor, and Order workflow;
- Store and back up Your Content on our servers and those of our service providers;
- Reproduce, modify, adapt, and process Your Content as needed to render previews, generate thumbnails, prepare print files, and produce the Products you Order;
- Transfer Your Content to our printing equipment, fulfilment partners, and couriers as part of producing and delivering your Order.
This licence is granted solely for the purpose of operating the Platform and fulfilling your Orders. It does not give us the right to use Your Content for marketing, resale, or any other purpose without your separate consent.
This licence terminates when you delete Your Content from your account, except where we are required to retain copies for legal, tax, accounting, or operational purposes (such as completing an in-progress Order).
6Your Warranties About Your Content
By submitting Your Content, you confirm and warrant that:
- You own Your Content, or you have all necessary rights, licences, consents, and permissions to use it and to authorise us to use, reproduce, and print it as described in this Agreement;
- Your Content does not infringe any third-party copyright, trademark, patent, trade secret, moral right, right of publicity, right of privacy, or any other intellectual property or proprietary right;
- Your Content does not contain any defamatory, obscene, indecent, or unlawful material;
- Your Content complies with all applicable laws and regulations.
Indemnity: You agree to indemnify, defend, and hold us harmless from and against any claim, demand, loss, liability, damage, or cost (including reasonable legal fees) arising from any breach of these warranties or from any third-party claim that Your Content infringes their rights.
7Code of Conduct
When using Waplee, you agree not to:
- Upload or create Content that is unlawful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially or ethnically offensive;
- Upload or create Content that exploits or sexualises minors in any way;
- Use Waplee to print designs that infringe the intellectual property rights of others, including but not limited to copyrighted artwork, registered trademarks, brand logos, characters, photographs, or designs you do not have permission to reproduce;
- Submit false, misleading, or fraudulent information, including using fake names, addresses, or payment details;
- Attempt to circumvent, disable, or interfere with security-related features of the Platform;
- Use bots, scrapers, automated tools, or any other means to access the Platform other than through the user interface we provide, without our written permission;
- Reverse engineer, decompile, or attempt to extract the source code of the Platform;
- Use the Platform for any commercial activity that competes with us, or to compile a database of designs, templates, or product specifications;
- Encourage or facilitate any of the above behaviour by other users.
8Our Right to Decline or Stop Production
We reserve the right, but not the obligation, to:
- Review Content submitted to the Platform before printing;
- Refuse to print, halt production of, or remove from the Platform any Content that we determine, in our sole and reasonable discretion, violates this Agreement, the Terms, or applicable law;
- Refund any payment made for an Order we decline to produce, less any costs already incurred where the cause is your breach.
Examples of Content we will not print include (but are not limited to): unauthorised brand logos, copyrighted characters or artwork, hate symbols, sexually explicit imagery, and content promoting violence or illegal activity.
9Feedback
If you provide us with feedback, suggestions, ideas, or improvements ("Feedback"), you agree that we may use, modify, and incorporate that Feedback into the Platform without obligation, attribution, or compensation to you. You waive any rights you may have in such Feedback to the extent necessary to permit our use.
10Suspension & Termination
10.1 By you
You may stop using the Platform and close your account at any time by contacting hello@waplee.org.
10.2 By us
We may suspend or terminate your account, with or without notice, if we reasonably believe you have:
- Breached this Agreement, the Terms, or applicable law;
- Engaged in fraudulent, abusive, or harmful behaviour;
- Repeatedly submitted Content that infringes third-party rights;
- Posed a security or operational risk to the Platform or other users.
10.3 Effect of termination
On termination of your account:
- Your right to access the Platform ends immediately;
- We may delete or anonymise your account data, subject to our data retention obligations under our Privacy Policy;
- You remain liable for any obligations accrued before termination, including payment for any Orders in production;
- Provisions of this Agreement that by their nature survive termination will continue to apply (see section 11).
11Survival
The following sections survive termination of this Agreement: Section 4 (Your Content), Section 5 (Licence) (with respect to copies retained as permitted), Section 6 (Warranties and Indemnity), Section 9 (Feedback), this Section 11, and any other terms that by their nature should survive.
